1. Introduction

1.1 These Terms and Conditions (“Terms”) govern the submission, collection, access, and use of any information, personal data, company data, content, documents, job vacancy details, curriculum vitae (CVs), materials, or other data (“User Data”) provided to Luven Labs Limited (“Luven Labs”, “Company”, “we”, “us”, “our”).

1.2 These Terms apply to all individuals, companies, and organisations using our platform or services, including candidates, job seekers, employers, hiring organisations, and any other parties (“Users”, “you”).

1.3 By submitting User Data, creating an account, accessing the platform, or using any part of our services, you irrevocably agree to be bound by these Terms and by our Privacy Notice, which together form the entire agreement between you and Luven Labs Limited.

1.4 If you do not accept these Terms, you must not submit any User Data or use any Luven Labs services.

2. Scope of Services and No Guarantee

2.1 Luven Labs operates a technology-enabled platform to facilitate introductions, matching, and communication between Users. We do not guarantee any job placement, hiring decision, candidate suitability, or successful outcome of any engagement between Users.

2.2 Luven Labs is not a party to any employment, contractual, or commercial arrangement entered into between Users and disclaims all responsibility for such arrangements.

2.3 Any recommendations, matches, suggestions, rankings, or outputs generated by algorithms, AI tools, or other automated systems are informational only and must not be relied upon as advice or as a guarantee of suitability.

3. Data Collection and Use

3.1 Luven Labs may collect, store, process, analyse, and use User Data including, without limitation:

• Personal details, contact information, CVs, skills, employment history, preferences, salary expectations, notice periods;
• Company details, contact names, job descriptions, salary ranges, hiring challenges, and operational data;
• Any other information voluntarily provided, submitted, uploaded, or otherwise made available.

3.2 User Data may be used for any lawful purpose connected to our business, including, without limitation:

• Matching, introducing, and connecting candidates with opportunities and clients;
• Communicating with Users about roles, candidates, updates, offers, opportunities, and platform services;
• Operating, optimising, testing, maintaining, and improving our platform, algorithms, and matching systems;
• Conducting analytics, insights, benchmarking, and research (including commercial research);
• Training, developing, and improving AI systems, models, and automated decision-making tools;
• Marketing, advertising, promotional communications, and business development;
• Creating anonymised or aggregated datasets for internal or external commercial use;
• Forming partnerships, collaborations, joint ventures, and commercial initiatives with third parties;
• Sharing User Data with clients, candidates, affiliates, subcontractors, partner agencies, service providers, and trusted third parties as reasonably required for operational or commercial purposes.

3.3 You acknowledge and agree that Luven Labs may commercially exploit anonymised or aggregated data without restriction.

3.4 Luven Labs may also process User Data where necessary to comply with legal obligations, enforce these Terms, or protect legitimate business interests.

4. Data Retention

4.1 User Data may be retained for as long as it is required to fulfil the purposes set out in these Terms and the Privacy Notice, or as long as commercially advisable or legally required.

4.2 Anonymised or aggregated data may be retained indefinitely.

5. User Warranties and Responsibilities

5.1 You represent and warrant that:

• All User Data is true, accurate, lawful, and up to date;
• You have full authority and rights to submit such User Data;
• Submission and use of User Data under these Terms does not breach any third-party rights;
• You will comply with all applicable laws when using the platform.

5.2 Users must not:

• Upload false, misleading, defamatory, discriminatory, unlawful, or infringing content;
• Use the platform to harass, abuse, or harm any individual or organisation;
• Engage in data scraping, automated data extraction, reverse engineering, or unauthorised access;
• Misuse, interfere with, or disrupt the platform or related systems.

5.3 Luven Labs reserves the right, at its sole discretion and without obligation, to remove any content, restrict access, suspend accounts, or terminate services for any reason.

6. Intellectual Property and Licence Grants

6.1 All intellectual property rights in the platform, software, database architecture, algorithms, AI systems, content, and associated materials remain the exclusive property of Luven Labs.

6.2 By submitting User Data, you grant Luven Labs a worldwide, perpetual, irrevocable, royalty-free, sublicensable licence to:

• Use, reproduce, store, host, modify, distribute, publish, publicly display, and exploit User Data;
• Create derivative works based on such data;
• Use User Data for platform operation, marketing, advertising, research, AI development, product improvement, business development, and commercial purposes.

6.3 For clients, this includes a licence to display company names, logos, and job postings publicly or privately to promote opportunities and platform activities unless explicitly withdrawn in writing.

7. Platform Access and Suspension

7.1 Luven Labs may, at any time and without notice:

• Suspend or terminate User accounts;
• Restrict or remove access to the platform;
• Modify, withdraw, or discontinue any part of the platform;
• Remove or disable any content.

7.2 Luven Labs is under no obligation to store, maintain, or provide copies of User Data except as required by law.

8. Disclaimers

8.1 The platform is provided “as is” and “as available” without warranties of any kind, whether express or implied.

8.2 Luven Labs makes no warranties regarding:

• The accuracy, reliability, or completeness of any information on the platform;
• The suitability, qualifications, or behaviour of any candidate or client;
• The outcomes of matches, introductions, or communications;
• The accuracy or performance of algorithmic or AI-driven tools.

8.3 Luven Labs is not responsible for:

• Employment decisions, hiring outcomes, or contract performance;
• The acts, omissions, representations, or conduct of any User.

9. Limitation of Liability

9.1 To the maximum extent permitted by law, Luven Labs shall not be liable for any:

• Indirect, incidental, consequential, special, exemplary, or punitive damages;
• Loss of profits, revenue, goodwill, data, opportunities, or business;
• Claims arising from User interactions, employment arrangements, or reliance on platform outputs.

9.2 Luven Labs’ total aggregate liability for all claims shall not exceed £100 or the minimum amount permitted under law.

10. Indemnification

10.1 You agree to indemnify, defend, and hold Luven Labs harmless against any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising out of:

• Your use or misuse of the platform;
• Your User Data;
• Your breach of these Terms;
• Your violation of applicable laws;
• Any disputes or arrangements between Users;
• Any third-party claims related to User Data.

11. Amendments

11.1 Luven Labs may update or amend these Terms at any time. Updates take effect upon publication on our website.

12. Governing Law and Jurisdiction

12.1 These Terms are governed exclusively by the laws of England and Wales.

12.2 The courts of England and Wales shall have exclusive jurisdiction over all disputes arising out of or connected to these Terms.
